Can a non-dentist own a dental practice in Florida?

At Jones Health Law, we receive many inquiries from non-dentists who wish to own and operate dental offices. Dental practices in high-traffic areas with good management, a diverse patient population, talented healthcare professionals, and robust marketing and promotional efforts can generate significant revenue even as insurer reimbursement rates fall. According to the American Dental Association, the average gross bills per dentist for owner dentists in 2017 were $718,790 for a general practitioner and $1,058,630 for a specialist. Numbers like this show why a non-dentist would want to open a practice that consists of several dentists and dental hygienists. However, non-dentists need to be very careful when it comes to structuring their relationships with dentists.

Under Florida law, no person other than a Florida licensed dentist or entity other than a professional or limited liability company composed of dentists may:

Employ a dentist or dental hygienist in the operation of a dental practice. Control the use of dental equipment or materials while such equipment or materials are used to provide dental services, whether those services are provided by a dentist, dental hygienist, or dental assistant. To direct, control or interfere with a dentist’s clinical judgment.

By law, a non-dentist may not directly employ a dentist (i.e., W-2 staff), but may work with the dentist as a 1099 independent contractor. The non-dentist cannot pay a dentist a salary or commission. The dentist can form their own wholly owned professional corporation, while the non-dentist can provide their services through an LLC or other taxable entity. There must not be an employment contract between the dentist and the operator, but a self-employment contract may be required. Any dentist employed by a non-dentist may face disciplinary action.

The non-dentist providing the office space and equipment cannot control the use of dental equipment while such equipment or materials are used in the performance of dental services (emphasis added). This means that while the dentist is operating dental equipment, the non-dentist cannot barge in and impose restrictions on how the equipment or materials are used once a patient is being treated. For example, if a dentist is treating a patient and that treatment was expected to take 30 minutes, but is now at the 45 minute mark, the non-dentist cannot physically manipulate dental equipment or tell the dentist to be ready within the next need 5 minutes because another dentist needs to use it. However, a leasing contract may restrict the operation and use of the equipment rented to the dentist in general.

Most importantly, a non-dentist cannot influence a dentist’s clinical judgment by directing them about a course of treatment for a patient. All clinical decisions must be left to the discretion of the dentist. The purpose of this law is to prevent non-dentists from influencing or interfering with a dentist’s exercise of independent professional judgment.

The relationship between the non-dentist and the dentist will be a network of lease, rental, marketing, practice management and administrative agreements. Any dental equipment lease agreement between a non-dentist and a dentist must include a provision stating that the dentist expressly retains complete care, custody and control of the equipment or practice. In addition, an agreement is void if the non-dentist exercises control over:

The selection of a course of treatment for a patient, the procedures or materials to be used in such course of treatment and the manner in which such course of treatment is administered by the dentist; A dentist’s medical record; Policies and decisions regarding pricing, credit, refunds, guarantees and advertising; and decisions regarding office staff and office hours.

A non-dentist may contract with the professional association of dentists to provide administrative services, which may include maintenance of patients’ medical records, but control and ownership of those records does not belong to the management company. The dentist must have unrestricted access to these medical records if necessary.

While a non-dentist cannot dictate the dentist’s practice hours, the rental agreement for the practice premises can include the practice’s opening hours. For example, a rental agreement can grant the dentist access to the doctor’s office between 8:00 a.m. and 8:00 p.m. but the dentist would set his office hours between 9am and 3pm. In addition, only the dentist has control over the hiring and firing of office-approved staff such as dental hygienists, hygienists, technicians, and assistants.

A dentist may enter into an agreement with a non-dentist to receive “practice management services.” The term “practice management services” is defined to include consultation or other activities or services provided by someone other than a Florida licensed dentist regarding one or more of the following types of products or services:

The suitability of the premises, furnishings and equipment of the dental practice; personnel necessary for the operation of a dental practice; regulatory compliance expertise and services; Methods for increasing the productivity of a dental practice; Inventory and consumables needed to run a dental practice; Information systems for creating financial and operational data about dental practices; marketing plans or advertising to increase the productivity of a dental practice; Site selection, relocation, design or physical layout of a dental office, or financial services such as bookkeeping, bookkeeping, monitoring and payment of accounts receivable, payment of leases and subleases, payroll or benefits administration, billing and collections for patient services, payment of federal or state income taxes, personal property or intangible taxes, administration of interest expense or debt incurred to fund the operation of the dental practice, or insurance costs for malpractice.

The administrative fee for non-dental practitioners must reflect fair market value and relate directly to the goods and services provided, without taking patient referrals into account. Dentists should not pay any percentage or part of ifs gross or net profits to the non-dental corporation.

Finally, dentists are prohibited from entering into non-compete agreements for the provision of dental services with a company that is not itself a licensed dentist or that is not licensed or otherwise legally authorized to provide the services that are the subject of the agreement.

If you’ve scrolled down the TikTok For You page over the past year, you’ve probably seen that tooth piercings (aka tooth gems) and tooth jewelry in general are seeing a huge surge in popularity. From lattices and full tooth gem covers to small single tooth pendants, tooth embellishments are just one of many 2000s-era trends making a comeback. In fact, the #toothgem hashtag has amassed over 163 million views on the app, and recent research from PolicyBee, which analyzed nostalgic beauty trends, found that tooth gems are a frontrunner in Y2K comebacks.

While tooth jewelry was a major part of the style of the late ’90s and ’00s, and is enjoying a resurgence thanks to TikTok, tooth gems are by no means a recently invented trend. Similar jewelry has long been part of Latinx culture, dating back to the earliest documented examples in the Mayan Empire (they actually bored into teeth and filled the holes with gems).

Toothbrushes also have cultural significance in the history of the black style, particularly grills and hats – which have also grown in popularity over the past year, in part due to a new generation of grill artists including Helen Harris aka Helen with the Gold Teeth and Dolly Cohen. Modern grills date back to West Indian immigrants and black New Yorkers in the ’70s and ’80s, with Eddie Plein credited with inventing the gold detachable fronts. And, hey, if you can find someone outside of your community who does, I think there are more than enough shops to get around.”

Given the beauty and style industry’s track record of cultural appropriation, it’s important to recognize the roots of tooth jewelry. Celebrities like Hailey Bieber and Kourtney Kardashian are labeled trendy for wearing them, while tooth jewelry has long been, and still is, stigmatized when worn by Black and Latinx people. “Sorry but this whole ‘tooth gem’ trend is literally just white people stealing yet another thing from black culture that they continue to discriminate against when it comes to black people,” one Twitter user wrote of the trend.

From Al-baari’s point of view, the anti-authoritarian nature of the style trend is cool, with tartars definitely being the more accessible version of tooth jewelry. “I think anyone can wear a grill or a hat or tooth jewelry,” she says. “I think it’s for everyone. It’s just sort of expanding the scope of non-traditional fashion, right? And allowing people to demand self-expression in spaces where perhaps you should be more compliant. It’s the non-conformity that I love overall, and I think that’s what drew me to it.”

The glue from putting the jewelry on will erode the enamel on your teeth and could ultimately increase your risk of tooth decay or infection.” Thomas says food debris and bacteria can also get stuck in jewelry.

BUT I LOVE THE LOOK

As tempting as it may be to take the risk and shine your molars in the name of fashion, Dr. Thomas says consider whether it’s worth the long-term damage to your teeth. If a strong impact or trauma occurs where the jewelry sits, there is a chance your tooth could chip or fracture.

“Think about it. You spend so much time and money trying to have a perfect smile. As attractive as tooth jewelry is, the long-term risks outweigh the short-term fashion statement,” said Dr. Thomas.

dr Thomas also emphasizes that you shouldn’t treat teeth jewelry as a DIY project and stick the jewelry on yourself. Although there are teeth jewelry kits that you can buy online, the ingredients could be toxic or the quality of the glue could be harmful to your teeth.

How long does the procedure take?

With a retainer, it depends on the type. If it’s a Hawley retainer (the wire type), yes! Just bring it with you to your appointment and make sure the gem placement doesn’t bother you. Unfortunately if you have the clear plastic tray (this also applies to Invisalign) this will put too much pressure on your tooth and gemstone so I would not recommend this.

Trays and gels purchased from your dentist are safer and provide faster results because the trays are custom fitted to your teeth by the dentist and the gels contain stronger bleaching agents.
