Personal Chef Service Agreement — ENJOY CULINARY CO.

PERSONAL COOKING SERVICE CONTRACT

Menu planning and suggestions:

An Enjoy Culinary Company, LLC (ECC) Executive Chef will work with you, the customer, to create a customized menu proposal based on the information in your customer profile. For reasons of quality control, the ECC asks that the correspondence between the customer and the chef be in writing by e-mail. Proposals must be confirmed by 8:00 am on your duty appointment. Otherwise this will be considered a last minute cancellation (see cancellation fees below). Menu planning, correspondence, travel expenses and sourcing of ingredients are included in the customer’s quoted daily rate. Any agreed menu items may change from the original menu due to ingredient availability, quality or other unforeseeable factors. ECC sources organic ingredients first, then locally/sustainably from Whole Foods Market. Please inform your chef if you prefer to visit another shop. In some cases, it is necessary to supplement ingredients from nearby grocery stores, grocery stores, and farmers’ markets.

Planning:

Your ECC chef will come to your home punctually at the agreed time and at the agreed times. Cooks require unrestricted access to the cooking area for an estimated 2-5 hours. Please make your home accessible to your cook at the scheduled cooking time. If your chef is unable to access your home for any reason (locks changed, treacherous pets, etc.) you will be charged a last minute cancellation and expected to refund the cost of your groceries. Cancellations:

Please let us know two weeks in advance if you wish to cancel a cooking appointment. ECC recognizes that things don’t always go according to plan, so ECC grants two ‘free passes’ quarterly for weekly customers and one ‘free pass’ every six weeks for every two weeks. If you fail to notify your chef properly, you will be billed the daily rate on the canceled cooking date. Instead of canceling, the chef could come and stock the freezer with frozen substitute meals and inventory the ingredients at your home.

household kitchens:

ECC chefs take great pride in their work and promise to respect you, your home and your equipment. Your chef leaves his workspace as clean as he found it, removes his personal equipment and puts away any leftover food. Please ensure your kitchen area is clean and ready for your cook to cook at the scheduled time and that your food containers are ready for use. If chefs arrive at an inappropriate workspace, they will document the area with one or more photos and a $50 cleaning fee will be added to the bill for that service appointment. If the kitchen does not meet basic sanitation standards (i.e. no running water, no electricity, etc.) the chef will prepare and stock as much as he can, you will be charged the daily rate and groceries reimbursed.

Food safety:

Your meals will come packaged and with recommended heating and serving instructions for your convenience. Although ECC tries its best, the instructions are subject to inaccuracies due to different oven temperatures, type of equipment, etc. Due to changes in the dish and its storage on site, instructions may also be written in hard copies. The ECC reserves the right to throw away any food that the chef deems unfit for consumption. This may include previous weeks’ meals prepared by the chef. The ECC cannot be held liable if you choose to ignore common food safety practices by failing to store, thaw, reheat or properly sanitize your meals. If you have chosen to have your meals prepared and delivered at a commercial facility, ECC cannot guarantee allergen-free meals.

Invoices and accepted payment options:

Invoices will be emailed after the service date from the ECC via Intuit (Quickbooks). A late fee of 10% of the invoice amount will be added to the outstanding invoice 15 days after the service date, along with a credit card processing fee of an additional 2.7% of the invoice amount. Checks and direct deposit are preferred forms of payment. ECC accepts all major credit cards. If you choose to pay by credit card, there is no processing fee unless your invoice is deemed pending. This agreement (the “Agreement”) is a legal agreement between you, the customer (“you”), and Atlanta Personal Chef Service LLC (“APCS”) that sets forth the terms and conditions under which you may provide personal chef and catering services from APCS Your use of the Services from APCS constitutes your acceptance of the terms below.

1. Responsibilities.

Once the weekly menu is determined, APCS will, against your payment, provide the product you have ordered or a comparable substitute for the desired period. APCS will purchase all necessary ingredients and items for the ordered meals and then prepare and cook the meals for you in your kitchen at your home address at that week’s scheduled cooking sessions (which will be scheduled in advance by you and APCS). You will receive an invoice detailing the cost of that bi-weekly period’s product, including but not limited to the cost of groceries, any kitchen items purchased, and APCS fees for providing the service. When APCS cooks in your kitchen, APCS uses your condiments, supplies, and disposable items such as plastic wrap, foil, bags, etc. Your payment for the product is due in full by the due date on your invoice. You agree to make payment to APCS if APCS is unable to collect payment for any reason.

2. Disputed Fees.

In the event of a disputed charge, you must notify APCS in writing of the amount in dispute and the cause of the dispute, and you agree to pay all amounts undisputedly owed while the dispute is being resolved.

3. Customer Registration.

You agree to provide accurate, complete, and updated information to APCS, including but not limited to your legal name, billing and residential addresses, email address, and appropriate telephone numbers, as necessary. If you pay by credit card, you represent and warrant to APCS that your use of such credit card is authorized and legal.

4. Changes in Customer Information.

It is your responsibility to notify your bank immediately of any changes to your billing information or the loss, theft or unauthorized use of your checks and/or credit card number. You are responsible for updating your registration information with APCS, including your contact information and credit card information. You are responsible for paying any fees, fines, or chargebacks resulting from insufficient funds, inquiries, expiration dates, etc. (these fees, if incurred, are typically $30 or less).

5. Payment Methods.

You can pay by electronic check (through Authorize.net, set up by APCS) or by credit card, which incurs a 3.5% processing fee. Billing takes place every two weeks. The service charge is calculated every other Monday and the food refund is calculated every other Wednesday.

6. Cancellation Policy.

If you do not need to visit your chef on a regular day, you can cancel with your account manager up until Friday before noon to receive 100% of the service cost of a dinner party gift certificate (the gift certificate can also be used for a select charitable silent auction fundraiser) for up to six days of service per calendar year. (Redemption restrictions apply. See Cancellation/Holiday Policies for details). APCS does not provide service on New Year’s Day, Memorial Day, July 4th, Labor Day, Thanksgiving Day or Christmas Day and you will be offered two alternative service dates if your regularly scheduled service falls on either of these dates.

While we endeavor never to cancel a scheduled service day, you will receive an immediate credit equal to the day’s service fee towards your next food refund.

7. Permanent Discontinuation of Service.

If you wish to discontinue chef service, please notify APCS in writing by email to [email protected] with the subject “Service Discontinuation” by noon on the Friday before billing is discontinued.

8. Dinner Guests and Dinner Lateness.

If you would like your chef to prepare the planned menu for guests (up to 6 dinners in total), please notify your chef by email by 5pm the evening before the cooking appointment. There is a charge of USD 10 for each additional meal prepared on unattended evenings (USD 25 per guest on unattended evenings). For non-serving nights, receive two free guest portions each month. If dinner is delayed on the evening of service due to a late guest or other reason, a fee of $25/half hour delay will be charged.

9. Delivery service equipment and logistics.

If single-use plastic containers are used for food delivery, there will be a charge of $5 per day. Cooler bags not returned will be charged at $12 per bag. Please remember to keep your reusable glass Tupperware containers clean and handy when you deliver them to the chef to avoid extra charges. In the event that the chef is unable to enter your home or complete the delivery as planned because of a deadline for agreements, after which the meal will be forfeited for that delivery, unless other reasonable arrangements can be made with the chef . If a second delivery attempt is required or a delay greater than 30 minutes is required, a fee of $25 or more will be charged to compensate for the additional chef’s time.

9. Availability of Products/Services.

While APCS anticipates it will be able to accommodate your food preferences, certain foods may be unavailable from time to time. If an item for which you have indicated a preference is not available, APCS will provide you with a comparable replacement.

10. Nutritionist/Diet.

While APCS chefs are trained in various areas of nutrition and dieting, APCS does not offer medical or nutritional advice. You acknowledge that APCS has advised you to seek the advice of your physician or other healthcare provider if you have any medical questions or questions about other things, such as dietary supplements or exercise programs. APCS does not intend to offer you a weight loss program.

11. Disclaimer of Warranties.

APCS Personal Chef Services are provided on an “AS AVAILABLE” basis and APCS makes no representations as to the availability or use of the Services by you. APCS makes no warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose, with respect to the Personal Cooking Services or otherwise.

12. Limitation of Liability.

APCS will not be liable to you for any interception of online communications, software or hardware problems (including but not limited to viruses, data loss or compatibility conflicts), unauthorized use of your credit card, or any other consequence beyond APCS’ reasonable control. Any liability of APCS (including its employees, affiliates or agents) to you for any damages, injuries, losses and causes of action of any kind, whether in contract, tort or otherwise, whether jointly and severally and severally, shall be strictly limited to the aggregate dollar amount incurred You paid APCS the last time you used the Personal Chef Service immediately prior to the alleged injury, loss or damage.

13. Confidentiality.

This Payment Authorization is valid and will remain in effect unless you notify APCS of its termination by sending written notice in accordance with the Service Discontinuation Policy.

Under Georgian law, there is no liability for injury or death of any person conducting business with APCS if such injury or death results from the inherent risks of contracting COVID-19. You take that risk by doing business with APCS.
